The Legal Pathway for Corporate Debt Recovery in Kenya
The journey of corporate legal collection follows a structured pathway governed by Kenyan law, primarily The Civil Procedure Act and The Companies Act, 2015. The process begins with a crucial pre-litigation step: the issuance of a formal Demand Letter Before Action. This letter, drafted by or in consultation with an Advocate of the High Court of Kenya, sets a final deadline for payment and explicitly states the intention to commence legal proceedings, forming a critical part of the evidence.
If the demand is ignored, the next step is to file a Plaint at the appropriate court, typically the Milimani Commercial & Tax Division of the High Court for substantial claims. For uncontested debts, a summary procedure may be used to obtain judgment quickly. A more powerful tool against a corporate debtor is the issuance of a Statutory Demand under The Companies Act. If a company fails to pay or secure a debt exceeding KES 100,000 within 21 days of receiving a Statutory Demand, it is deemed unable to pay its debts. This can form the basis for a winding-up petition (liquidation), a severe consequence that often compels directors to settle the debt immediately to save the company.

- Court Filing Fees: These are statutory fees determined by The Judiciary's fee schedule, based on the value of the claim. For a claim of KES 2 million, for example, initial filing fees at the High Court could be approximately KES 70,000.
- Advocate's Fees: These are guided by the Advocates' Remuneration Order. They can be a fixed fee, an hourly rate, or a percentage of the subject matter. We work with our legal partners to provide clear cost estimates.
- Disbursements: These are out-of-pocket expenses for items like service of court documents, photocopying, and transport. We always seek your approval before incurring significant disbursements.
